Parties: This EULA is between any licensee (User) and Sterling Adventures (Author).
Scope: This EULA governs use by any User of Software licensed by the Author.
This EULA shall apply only to Software supplied by the Author and its management regardless of whether other software is referred to or described herein.
The terms also apply to any Author updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery.
Please read this EULA carefully before using the Software. It provides a licence to use the Software. If you are entering into this EULA on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA, do not use the Software and you must not accept this EULA.
Licence Grant:
Upon payment of the one-off license fee by the User the Author grants the User a non-transferable, non-exclusive, perpetual licence to use the Software in accordance with the terms of this EULA.
The Software is permitted to be installed on a single secure server.
The server will be accessed by all Users of the Software.
The User is responsible for ensuring the server meets the minimum requirements of the Software.
The Software may be used from any browser on a user device (for example a desktop, laptop, mobile or tablet).
The User is responsible for ensuring user devices meets the minimum operating requirements of the Software.
Limitations on use Users, or their Agents, Workers and Editors are not permitted to:
Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things.
Reproduce, copy, distribute, resell or otherwise use the Software for any purpose.
Allow any third party to use the Software on behalf of or for the benefit of any third party.
Use the Software in any way which breaches any applicable local, national or international law.
Use the Software for any purpose that the Author considers is a breach of this EULA.
Intellectual Property and Ownership:
The Author shall at all times retain ownership of the Software.
The Software and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto are and shall remain the property of the Author.
The Author reserves the right to grant licences to use the Software, or components of the Software, to third parties.
Effective Date: This EULA is effective from the date of installation of the Software or by email exchange between the Parties confirming mutual acceptance of the EULA.
Termination:
The EULA may be terminated by written notice of at least 30 days by either of the Parties only following a Governing Group review and decision.
The EULA will terminate immediately if the User breaches any term of this EULA.
On termination this EULA and any benefit conferred to the User will be revoked and the User agrees to stop using the Software.
Following termination: the User will allow reasonable access for the Author or their agent to remove the Software from their server.
Governing Law: This EULA and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of England & Wales.
